1. Introduction and Contractual Relationship
1.1 Parties
These Terms of Service (βTermsβ) constitute a legally binding agreement between Veeb.ai, a company organized and existing under the laws of Switzerland, with its registered office in Lausanne, Switzerland (βVeeb.ai,β βwe,β βus,β or βourβ), and you, the individual or legal entity accessing or using our website, applications, APIs, and AI generation services (collectively, the βServicesβ).
1.2 Acceptance
By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the legal authority to bind such entity to these Terms.
1.3 Age Requirements
You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent and warrant that you are of legal age to form a binding contract with Veeb.ai.
1.4 Privacy Policy
Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our Services, you agree to the data practices described in our Privacy Policy.
1.5 Account Security
You are responsible for safeguarding the password and credentials that you use to access the Services. Veeb.ai cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
1.6 Modifications
We reserve the right to modify these Terms at any time. We will provide you with notice of material changes via email or a prominent notification within the Service. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
2. Definitions and Intellectual Property
2.1 Definitions
- βInputβ means any text prompts, images, parameters, or data you upload or submit to the Services.
- βOutputβ means the images, text, code, or other content generated by the Services based on your Input.
- βAssetsβ refers collectively to your Input and the resulting Output.
- βStealth Modeβ means the privacy feature where Output is not published in the Veeb.ai public gallery.
2.2 Ownership of Input
You retain all rights, title, and interest in and to your Input.
2.3 Rights to Output
Subject to your compliance with these Terms and payment of applicable fees, Veeb.ai hereby assigns to you all rights, title, and interest it may hold in and to the Output generated by the Services for your account. This assignment is worldwide and perpetual.
Note on Copyright: You acknowledge that under Swiss law (specifically the βCreator Principleβ or SchΓΆpferprinzip) and other jurisdictions, content generated solely by artificial intelligence may not be eligible for copyright protection. Veeb.ai makes no representation or warranty that the Output will be copyrightable.
2.4 License to Veeb.ai & Service Improvement
To provide, maintain, and improve the Services, you grant Veeb.ai a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to access, use, host, cache, store, reproduce, transmit, display, publish, distribute, and modify your Assets.
Service Improvement Guarantee: You grant Veeb.ai the right to analyze your Input and Output solely to debug, maintain, and improve the functionality of the Services (e.g., improving prompt adherence, safety filters, or user interface). Consistent with our Privacy Policy, Veeb.ai represents and warrants that it does NOT use your Customer Assets to train, retrain, or fine-tune its own foundational generative artificial intelligence models.
2.5 Anti-Scraping & Data Harvesting
You shall not use any robot, spider, scraper, deep link, or other similar automated data gathering or extraction tools, program, algorithm, or methodology to access, acquire, copy, or monitor the Services or the public gallery of Veeb.ai. Any attempt to scrape our gallery to build competing datasets is a material breach of these Terms.
3. Acceptable Use and Conduct
You agree strictly NOT to use the Services to generate, upload, or share content that:
- Illegal Acts: Violates any applicable Swiss federal or cantonal law, or international law.
- CSAM: Depicts child sexual abuse material (CSAM). Veeb.ai strictly enforces a zero-tolerance policy and reports such content to relevant authorities (fedpol/NCMEC).
- Hate Speech: Promotes violence, incites hatred, or discriminates against individuals or groups based on race, religion, gender, or sexual orientation.
- Infringement: Infringes the intellectual property, privacy (droit Γ lβimage), or publicity rights of any third party.
3.1 Deepfakes vs. Satire Policy
- Malicious Deepfakes (Prohibited): Content intended to deceive or confuse the public regarding the identity of a real person, or to spread disinformation, is strictly prohibited.
- Satire & Parody Exception: Veeb.ai recognizes the importance of artistic expression. The generation of satirical or parodic content depicting public figures is permitted, provided it is clearly distinguishable as AI-generated and not used for defamation. You are solely responsible for ensuring compliance with applicable βPersonality Rightsβ laws.
4. Fees, Payment, and No Refunds
4.1 Subscriptions
Services are billed in advance on a subscription basis. Your subscription will automatically renew at the end of each billing cycle unless cancelled via your account settings prior to the renewal date.
4.2 No Right of Withdrawal (Swiss Law)
For residents of Switzerland: You acknowledge that Swiss law does not provide for a statutory right of withdrawal for online digital services once the contract is concluded. All purchases are final and non-refundable.
4.3 EU Consumer Rights
If you are a consumer residing in the European Union, you generally have a right to withdraw within 14 days. However, by using the Service to generate Output immediately upon purchase, you expressly request immediate performance of the contract and acknowledge that you thereby lose your right of withdrawal.
5. Disclaimers and Limitation of Liability
5.1 βAs Isβ Service
The Services are provided on an βAS ISβ and βAS AVAILABLEβ basis. Veeb.ai disclaims all warranties, express or implied, including, but not limited to, fitness for a particular purpose, merchantability, or non-infringement.
5.2 Limitation of Liability (Article 100 CO)
To the fullest extent permitted by Swiss Law:
- Slight Negligence: Veeb.ai shall not be liable for damages caused by slight negligence.
- Indirect Damages: In no event shall Veeb.ai be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or goodwill).
- Liability Cap: In no event shall Veeb.aiβs aggregate liability for all claims exceed the greater of (A) the amount you paid to Veeb.ai in the twelve (12) months preceding the claim, or (B) one hundred Swiss Francs (CHF 100.00).
5.3 Exceptions
Nothing in these Terms excludes liability for unlawful intent or gross negligence (faute grave), which cannot be excluded under mandatory Swiss law.
6. Indemnification
You agree to indemnify, defend, and hold harmless Veeb.ai, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any conduct related to your Output that violates applicable law.
7. Termination
We may suspend or terminate your access to the Services at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Governing Law and Jurisdiction
8.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law provisions.
8.2 Jurisdiction
The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Lausanne, Switzerland. Notwithstanding the foregoing, Veeb.ai reserves the right to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or prevent unauthorized use of the Services.
8.3 Class Action Waiver
Where permitted under applicable law, you and Veeb.ai agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action.
